BRE Bank has a strategic shareholder. It is Commerzbank AG, that used to hold direct* capital share in BRE Bank for many years and now is holding it through its 100% owned subsidiary, Commerzbank Auslandsbanken Holding AG.

*November 2005 - transfer of BRE Bank’s shares in the form of in-kind contribution to 100% owned subsidiary of Commerzbank as a result of the technical process consisting in grouping of foreign Commerzbank’s shares in the holding company.
**Change in the exposure vis-à-vis the year 2003 resulted from implementation of the Management Stock Options Programme.


The shareholders of BRE Bank who reached or exceeded the threshold of 5% votes at the General Meeting of BRE Bank (BRE GM) – data based on the notices received by the Bank:

  • Commerzbank Auslandsbanken Holding AG owned 20,719,692 shares of BRE Bank,
    representing as at 13.06.2008:
    69.7916% of the initial capital of BRE Bank and 69.7916% of the total number of votes at BRE GM (= 20,719,692 votes).
  • Commercial Union Otwarty Fundusz Emerytalny BPH CU WBK owned 1,498,598 shares of BRE Bank,
    representing as at 3.11.2008:
    5,05% of the initial capital of BRE Bank and 5,05% of the total number of votes at BRE GM (= 1,498,598 votes).
